These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, APIs, services, software, and platforms provided by Zona Desert Property Solutions LLC ("Zona Desert Property Solutions", "we", "us", or "our"), including but not limited to the Zona Desert Property Solutions Marketplace, Contract Generation Services, Transaction Management Tools, and Electronic Signing Services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use or access our Services.

1. Eligibility and Acceptance

You represent and warrant that:

• You are 18 years of age or older and have the legal capacity to enter into a binding agreement.
• You are accessing and using the Services within the United States.
• You will provide accurate, current, and complete information when prompted to do so.

2. Definitions

“User” means any individual or entity using the Services, including Sellers, Buyers, Wholesalers, Agents, or internal administrators.“Contract Documents” means legally binding real estate documents such as Purchase Agreements, Assignment Agreements, and similar forms generated and executed using the Services.“Electronic Signature” means any electronic mark, symbol, or process used to indicate acceptance of a Contract Document.

3. Scope of Services

Zona Desert Property Solutions provides:

• AI-Assisted Contract Generation: Automated generation and templating of real estate transaction documents based on inputs provided by Users.
• Transaction Management: Organized workflows for tracking contract status (e.g., generated, seller signed, fully executed).
• Electronic Signing Tools: Tokenized signing flows allowing Users to sign Contract Documents online.
• Document Storage and Delivery: Hosting and access to executed contracts via secure links or API endpoints.

4. Consent to Electronic Records and Signatures

By using the Services and executing any Contract Document via an electronic process, you expressly:

• Consent to receive and sign documents electronically.
• Agree that such electronic signatures and records are legally binding and are the legal equivalent of handwritten signatures.
• Accept that copies of executed Contract Documents stored digitally are admissible in legal proceedings.

5. User Obligations

A. Acceptable Use

You agree not to use the Services for:

• Illegal activities,
• Fraud or misrepresentation,
• Uploading any material that is harmful, malicious, or infringing on third-party rights.

Violation may result in service suspension or termination.

B. Account Information

• Maintain the confidentiality of any credentials provided to you.
• Notify Zona Desert Property Solutions immediately of unauthorized use of your account.

C. Accuracy of Input

You are solely responsible for the accuracy and completeness of all information you submit to Zona Desert Property Solutions for document generation or transaction workflows.

6. Ownership Rights

All content provided through the Services, including software, APIs, templates, workflows, user interfaces, branding, and documentation, is proprietary to Zona Desert Property Solutions or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Services except as explicitly stated.

7. Third-Party Services

The Services may integrate or link with third-party platforms (e.g., MLS data providers, e-mail, SMS gateways). Zona Desert Property Solutions is not responsible for the actions, terms, or privacy practices of these third parties.

8. Disclaimers of Warranty

THE SERVICES, INCLUDING ALL CONTRACT DOCUMENTS GENERATED OR EXECUTED VIA THE SERVICES, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND.

Zona Desert Property Solutions disclaims:

• Any warranties of merchantability or fitness for a particular purpose,
• Accuracy of AI-generated data, estimates, or document output,
• That the Services will be uninterrupted, error-free, or without security vulnerabilities.

No advice provided through the Services (legal, tax, financial, or otherwise) constitutes legal advice. Users should consult qualified professionals before relying on any output.

9. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONA DESERT PROPERTY SOLUTIONS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

ZONA DESERT PROPERTY SOLUTIONS’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO ZONA DESERT PROPERTY SOLUTIONS IN THE SIX (6) MONTHS PRECEDING THE CLAIM (IF ANY), OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LOWER.

10. Indemnification

You agree to indemnify and hold Zona Desert Property Solutions and its officers, directors, employees, agents, and affiliates harmless from and against any claims, losses, liabilities, damages, and expenses (including attorneys’ fees) arising from:

• Your misuse of the Services,
• Your violation of these Terms,
• Your violation of any third-party rights.

11. Modification of Terms

Zona Desert Property Solutions may modify these Terms at any time. If material changes are made, notice will be provided via email or a platform notice. Continued use of the Services after changes constitutes acceptance of the revised Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona and applicable United States federal law. Any disputes arising out of these Terms shall be resolved exclusively in the state or federal courts located in Arizona.

13. Severability

If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Zona Desert Property Solutions regarding the Services and supersede all prior agreements or understandings.
